Generosity.co.nz (the "Platform", "we", "us", "our")

1. What this platform is
Generosity.co.nz is a New Zealand fundraising platform that lets people and organisations raise money by accepting donations, selling items, and running campaigns (each a "Campaign"). We provide software, tools and administration — including automated invoicing and payment setup through Stripe.
The Platform is not a financial service provider. We do not provide banking, payment, lending, remittance or other regulated financial products or services, and we are not registered or licensed as such. Stripe is the payment processor: funds for donations, sales and commissions flow directly between buyers and the seller's own Stripe account, and the Platform does not receive, hold or route the money unless we say otherwise.
The Platform is not a party to any contract between a buyer and a seller (including a fundraiser or supplying business), except for our own agreement with each user under these Terms. We are not the seller, fundraiser, donor or buyer in any transaction.
We review and moderate campaigns and listings, but we do not verify the legitimacy of every campaign, the accuracy of every claim, or the quality or delivery of every item. Users deal with each other at their own risk, subject to these Terms and the law.
By using the Platform you agree to these Terms, our Privacy Policy, and any other policies referenced here.
2. Who can use the Platform
You must be at least 18 years old, or have parental or guardian consent that we may ask you to verify. You must be able to enter a legally binding contract.
If you use the Platform on behalf of a group, club, charity, school or organisation, you confirm you are authorised to act for it and to bind it to these Terms.
You must provide accurate information, keep your login details secure, and not create multiple accounts to avoid fees, verification, moderation or a suspension.
3. Accounts and verification
- You are responsible for your account and everything done through it.
- Fundraisers and sellers may be asked to verify their identity, complete Stripe Connect onboarding, and provide charity registration details where applicable. Stripe may require additional verification, identity checks or business information, and its decisions (including delaying or pausing payouts) are outside our control.
- We may ask you for documents to verify your identity, address, business, ownership of goods, charity status, or the purpose of a campaign (for example invoices, proof of purchase, proof of an event, or proof of how funds are used).
- We may freeze a campaign, hold a payout, or suspend an account while we investigate suspected fraud, misuse, or a breach of these Terms.
- We may suspend or close accounts that breach these Terms.
4. Donations and purchases
- Donations are voluntary gifts to a Campaign. Unless a Campaign offers goods or services in return, donations are not purchases.
- Purchases of products, tickets or raffle tickets are contracts between the buyer and the seller (the fundraiser for items they supply themselves; the supplying business for wholesale items). The Platform is not a party to that contract.
- All payments are processed securely by Stripe. Payment terms are between you and Stripe under their own terms. Buyers pay the seller directly and the seller's name appears on the receipt.
- Sellers are responsible for fulfilling purchases they have accepted, and for issuing refunds where required under the Refund Policy or the law. The Platform does not guarantee that any item will be delivered or that a campaign will succeed.
- Platform fees of 5% + GST apply to donations and sales. The fee is invoiced to the fundraiser or seller on a regular billing cycle and charged to a card they save; it is not taken from buyer payments. If the saved card fails, fees continue to accrue and may be recovered, and repeated failures may lead to suspension of the account.
5. Your responsibilities
You agree to comply with all applicable laws, including the Gambling Act 2003 (raffles and lotteries are regulated by the Department of Internal Affairs), privacy laws, the Fair Trading Act 1986, the Consumer Guarantees Act 1993, and tax obligations.
You agree not to:
- Post false, misleading or unlawful content, or misrepresent the purpose of a fundraising campaign or how funds will be used;
- Sell or fundraise for prohibited items (see the Prohibited Items List, which we may update at any time — check it before listing anything, and note that items may be removed at any time);
- Sell items you cannot lawfully supply, including counterfeit goods or items you do not own or have the right to sell;
- Run unlicensed raffles, gambling or pyramid schemes;
- Harass, defame, or impersonate others;
- Attempt to defraud donors, buyers, sellers or the Platform;
- Use the Platform to collect personal information improperly;
- Interfere with the Platform's security or operation;
- Copy or scrape content without permission.
Campaign descriptions must be accurate. We may request proof of how funds are used and may remove or suspend campaigns that mislead donors.
6. Content you post
You keep ownership of content you post, and grant us a licence to display, store and process it to operate the Platform, and a limited right to use it in our own marketing and promotion of the Platform. You promise the content is yours (or you have permission) and doesn't breach anyone's rights.
AI-assisted content is clearly the user's responsibility. You should review AI-generated text before publishing. AI-generated or assisted content that is inaccurate, misleading or unsafe may be moderated, edited or removed.
7. Moderation
Campaigns, listings, reviews and other content may be reviewed before going live. We may remove content, pause a campaign during an investigation, or suspend accounts that breach these Terms or any law, without notice where required for safety. We may request evidence from you at any time, including proof of purchase, proof of event, or proof of ownership of goods.
8. Fees and payment
- Platform fee: 5% + GST on donations and sales, invoiced to the fundraiser or seller on a regular billing cycle and charged automatically to the card they save in their dashboard. For wholesale products, the fundraiser is invoiced for the fee on the sale; the business separately pays the fundraiser's commission directly to them, not through the Platform.
- Businesses supplying the wholesale catalogue also pay a platform fee of 5% + GST of the sales generated through fundraisers, invoiced weekly and charged to the card they save. The Platform may offer free-first-sales thresholds and credit (e.g. promotional vouchers) at its discretion.
- Buyers pay the seller (fundraiser or business) directly through Stripe. Payouts are made by Stripe from the seller's own account to their bank account, subject to Stripe's own fees and timing. The Platform does not hold sale proceeds or commissions.
- Fees are non-refundable once incurred. If a fee payment fails, the amount remains payable, may be re-invoiced or collected by other lawful means, and repeated failures may result in suspension of the account until the debt is cleared.
- Stripe's processing fees and payout timing are separate from our fees and outside our control.
- We may change our fees with reasonable notice.
9. Refunds and disputes
Refunds and disputes are handled under the Refund Policy and Dispute Resolution Policy. Refunds for purchases are the seller's responsibility, subject to those policies and the law. Donations are generally non-refundable unless made by mistake, fraud, or where required by law. Chargebacks are governed by the payment networks and may be reversed from the seller's Stripe balance.
10. Intellectual property
The Platform's branding, design and software belong to Generosity.co.nz. You may not use our marks without permission, reverse engineer or decompile the Platform, or use automated tools, bots or scrapers to access or copy it.
11. Limitation of liability
To the maximum extent permitted by law:
- The Platform is provided "as is" and may experience downtime, delays or interruptions, and we do not guarantee uninterrupted or error-free service;
- We are not liable for the conduct of fundraisers, sellers, donors or buyers;
- We do not guarantee that any campaign will succeed, that any item will be delivered, that user content is accurate, or that a donor or buyer will be satisfied;
- We are not liable for Stripe outages, delays, failures, fees or payout decisions, or for the acts or omissions of any third party;
- We are not liable for indirect or consequential loss;
- Nothing in these Terms limits rights you have under the Consumer Guarantees Act 1993, Fair Trading Act 1986, or other laws that cannot be excluded.
12. Termination
You may stop using the Platform at any time. We may suspend or terminate access for breach, fraud risk, or where required by law. Outstanding fees remain payable after termination. On termination, outstanding payouts continue to be processed where lawful.
13. Fraud and misuse
We may investigate suspected fraud or misuse at any time. During an investigation we may freeze payouts or campaigns, request documents, suspend accounts, and cooperate with Stripe, banks, payment networks, law enforcement and regulators. If Stripe or a payment network reverses, claws back or recovers a payment (for example a chargeback or fraudulent transaction), the relevant seller's balance or account may be debited or held accordingly, and we may reverse or withhold payouts to the extent needed to correct the transaction.
14. Privacy and data
Our handling of personal information is described in the Privacy Policy. We share data with Stripe and other service providers as needed to operate the Platform, may share data with law enforcement, regulators or courts when required or permitted by law, and may use anonymised, aggregated data for analytics, reporting and product improvement.
15. Changes to these Terms
We may update these Terms. We'll publish changes on this page and, for significant changes, notify you reasonably in advance. Continued use after changes means you accept them.
16. Governing law
These Terms are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of the New Zealand courts and, where available, the Disputes Tribunal.
