Applies to everyone who lists items for sale on the Platform — individuals and organisations alike.
3.0 changes: clarified the Platform is not a party to buyer/seller contracts and not a financial service provider; added listing accuracy and evidence rules, non-refundable fees, fulfilment and messaging duties, wholesaler indemnity and misrepresentation rules, Stripe payout timing, automated fraud monitoring, identity verification, and DIA raffle compliance.
1. Who this applies to
This agreement applies when you list products, tickets or raffle tickets for sale on the Platform, including on your own fundraiser page or an organisation storefront. It applies to both individuals and organisations. If you act for a group, club, charity, school or business, you confirm you are authorised to do so and to bind it to this agreement.
2. Your role
You are the seller (the "seller of record"). The buyer's contract is with you. The Platform provides the technology, invoicing and administration; it does not receive, hold or route the money for your sales, and it is not a party to the contract between you and the buyer.
The Platform is not a financial service provider and does not provide regulated financial services.
3. Listing rules
- Every listing must be accurate, honest and not misleading (Fair Trading Act 1986).
- Describe condition, price, availability, pickup/delivery and any fees clearly.
- Only list items you own or are authorised to sell.
- Never list prohibited items (see the Prohibited Items List).
- Keep listings up to date: update them if stock or details change, and remove them promptly if the item becomes unavailable.
- Don't create duplicate listings to manipulate search results or visibility.
- Tickets and raffle tickets may only be sold on campaigns of the corresponding type, with licences where required. Raffle sales must comply with the Gambling Act 2003 and any Department of Internal Affairs requirements.
- Listings are moderated; we may reject or remove them. We may ask you to provide evidence of ownership, proof of authenticity for branded goods, or other documents, and failure to provide them may result in suspension.
4. Consumer law
Sales of goods to consumers in New Zealand are subject to the Consumer Guarantees Act 1993 (CGA) and the Fair Trading Act 1986. You must comply with those laws regardless of anything else in this agreement. In particular:
- goods must be of acceptable quality and match their description;
- remedies for faulty goods are the buyer's rights under the CGA;
- you cannot contract out of the CGA for consumer sales.
The CGA protects consumers buying for personal or household use; it does not apply to business-to-business purchases. Refunds for change of mind are not required unless you choose to offer them.
5. Pricing and fees
- You set the price. All prices are in NZD and GST-inclusive where required.
- A platform fee of 5% + GST applies to each sale. The fee is invoiced to you on a regular billing cycle and charged automatically to the payment card you save in your dashboard — it is not deducted from your sale proceeds. Fees are non-refundable once incurred.
- You must keep your saved payment card valid. If a fee payment fails, the amount remains payable and may accumulate, and repeated failures may result in suspension of your account until the debt is cleared.
- Stripe may charge its own processing fees.
- You are responsible for any tax obligations on your sales (including GST if you are GST-registered).
5A. Wholesale products
If you sell a wholesale product added from the Platform's wholesale catalogue:
- The wholesaler is the seller of record. The buyer's contract is with the wholesaler, the buyer pays the wholesaler directly, and the buyer's receipt or tax invoice is issued in the wholesaler's name.
- Minimum sale price. You may not sell a wholesale product below its wholesale unit cost plus the applicable minimum commission (at least 10%). The Platform enforces this when you add the product and at checkout, and may adjust the minimum if the wholesaler updates their wholesale costs.
- Commission. You earn a commission of at least 10% of the sale price (or the higher minimum set by the wholesaler). The Platform automatically generates an invoice from you to the wholesaler for the commission, and the wholesaler's saved card is charged automatically. The commission is paid into your Stripe account. You do not receive or handle the buyer's full payment.
- Tax. Your supply is the commission (plus GST if you are GST-registered). The full sale price is the wholesaler's supply, not yours. The Platform's fee on the sale is invoiced to you separately.
- CGA compliance for wholesale products is the wholesaler's responsibility as seller of record; you must not misrepresent wholesale products as items you personally supply.
- Commission invoices or payouts may be paused during a dispute, chargeback or fraud investigation.
6. Fulfilment
- Fulfil orders promptly and as described.
- If you can't fulfil an order, refund the buyer in full (see Refund Policy).
- For physical goods, use reasonable packaging and, where couriered, a trackable service — and provide the tracking number to the buyer where available.
- Respond to buyer messages within a reasonable timeframe (generally within two business days).
- Failure to fulfil orders may result in suspension of your account.
6A. Wholesale product fulfilment
For wholesale products, the wholesaler fulfils the order on your behalf:
- The Platform sends the order to the wholesaler, who ships or delivers the product to the buyer.
- The wholesaler is responsible to you for delivering the product as described, and indemnifies you and the Platform against Consumer Guarantees Act 1993 and Fair Trading Act 1986 liability arising from faulty products or fulfilment failures.
- You must respond promptly to buyer issues relating to a wholesale product and keep the Platform informed so the order and any refund can be processed correctly.
- If the wholesaler cannot fulfil an order, the order is cancelled and the buyer refunded in full, and the commission on that order is cancelled.
7. Payouts
- Donations and sales of items you supply yourself are paid directly into your Stripe connected account by the buyer. Wholesale commissions are paid into your Stripe account by the wholesaler. Both pay out to your connected bank account on Stripe's payout schedule.
- Payouts require completed Stripe onboarding.
- Stripe may delay payouts due to verification, fraud checks, bank processing times or its own requirements. The Platform is not responsible for Stripe payout delays.
- We may pause payouts or commission invoicing for fraud, disputes, chargebacks or unlawful activity.
8. Refunds and disputes
You agree to honour the Refund Policy and cooperate with the Dispute Resolution Policy. Because you are the merchant of record for your own sales, chargebacks are taken from your Stripe balance and any chargeback fees may be deducted from it; the Platform assists with evidence. For wholesale products, refunds are processed by the wholesaler as seller of record.
9. Prohibited conduct
You must not: inflate prices artificially; post fake or competitor reviews; misrepresent your identity; sell prohibited or restricted items; attempt to move transactions off-platform to avoid fees; artificially manipulate fundraising totals or campaign progress; use AI to generate misleading product descriptions; attempt to bypass Stripe verification; reprice a wholesale product below its minimum sale price; or misrepresent the wholesaler's role in fulfilment.
9A. Fraud and identity
We may use automated systems and manual review to detect fraud, suspicious activity or breaches of this agreement, including analysis of transaction patterns, device information and behavioural signals. You may be required to provide identity documents, proof of address, or proof of ownership of goods; failure to provide requested documents may result in suspension.
10. Suspension
We may suspend or remove your listings or account for breach of this agreement, fraud risk, or where required by law. Outstanding fees remain payable after suspension. Pending payouts will be handled according to the refund and dispute policies, and commission payouts may be frozen during investigations.
11. Platform availability
The Platform may experience downtime or interruptions. We do not guarantee continuous availability, and we do not guarantee sales, visibility or campaign performance.
12. Changes
We may update this agreement with reasonable notice; continued selling means acceptance.
13. Data sharing for fulfilment
Buyer information may be shared with you (or with the wholesaler for wholesale products) solely for fulfilment and legal compliance, in accordance with the Privacy Policy.
14. Defined terms
- Seller of record / merchant of record: the party whose name appears on the buyer's receipt and who is responsible to the buyer for the supply — you for items you supply, the wholesaler for wholesale products.
- Platform fee: the 5% + GST fee on donations and sales, invoiced to the seller separately and charged to their saved card.
- Wholesale product: a product or voucher sourced from the Platform's wholesale catalogue and listed on your campaign page.
- Wholesaler: the approved business that supplies the wholesale product and fulfils orders for it.
- Wholesale unit cost: the price the wholesaler charges for the product, as shown in the wholesale catalogue at the time you add it to your page.
- Minimum commission: at least 10% of the sale price, or the higher minimum set by the wholesaler for a particular product.
