Fundraiser Agreement

Applies to everyone who creates a campaign on the Platform.
3.0 changes: clarified the Platform is not a party to fundraiser/donor contracts and not a financial service provider; added authority requirements, campaign accuracy and evidence rules, donor expectations, non-refundable fees, wholesaler indemnity of the Platform, Stripe payout timing, automated fraud monitoring, identity verification, and DIA raffle compliance.
1. Who this applies to
This agreement applies when you create a fundraiser or campaign on the Platform, whether for yourself, someone else, a group, school, club or organisation. If you act for an organisation, you confirm you are authorised to do so and to bind it to this agreement, and that anyone you add as a representative of the campaign is also authorised.
2. Your role
You are the fundraiser. Donations are made to the cause you describe, and you are responsible for using them as promised and as described on your campaign page.
The Platform is not a party to the contract between you and your donors or buyers, and is not a financial service provider. We provide software, tools and administration only.
3. Campaign rules
- Be truthful. Don't misrepresent the cause, your identity, or how funds will be used.
- Describe what the money is for and keep the page updated, especially if circumstances change — including your goal, if it changes.
- Only create campaigns you're entitled to create. For someone else's cause, confirm their consent.
- Charities claiming charity status must provide their Charities Services registration number and pass verification (see Charity Verification Policy).
- Raffles require a licence, may only be run by eligible organisations, and must comply with the Gambling Act 2003 and any Department of Internal Affairs requirements (see Prohibited Items List and compliance notes).
- Don't use funds for prohibited or unlawful purposes.
- Don't exaggerate urgency or fabricate deadlines, and don't use AI to generate misleading campaign stories or updates.
- We may ask you for evidence of how funds are used; provide it promptly where requested.
4. Donations
- Donations are voluntary gifts; unless you offer goods or services in return, donors have no purchase rights. Donations are generally non-refundable unless made by mistake, fraud, or where required by law.
- You may allow anonymous donations, monthly giving, and P2P supporter pages as configured on your campaign.
- Donors cannot demand proof of how funds are used unless required by law, and cannot impose conditions on a donation unless you explicitly accept them.
- A platform fee of 5% + GST applies to donations you receive (plus any sales, see section 6). The fee is invoiced to you, not deducted from donations at the time they are given.
5. Selling on your campaign
If you list products, tickets or raffle tickets that you supply yourself, the Seller Agreement also applies to those sales. You are the seller of record for those items: the buyer pays you directly, and your receipts and tax invoices are issued in your name. You must comply with the Consumer Guarantees Act 1993 and Fair Trading Act 1986 and fulfil purchases promptly.
5A. Wholesale products (catalogue items)
The Platform may offer a wholesale catalogue: products and vouchers supplied by approved businesses ("wholesalers"), which you may add to your campaign page. When a buyer purchases a wholesale product from your page:
- The wholesaler is the seller of record. The buyer's contract is with the wholesaler, and the buyer pays the wholesaler directly. The buyer's receipt or tax invoice is issued in the wholesaler's name.
- You earn a commission. The wholesaler owes you a commission of at least 10% of the sale price (or the higher minimum set for that product). The Platform automatically generates an invoice from you to the wholesaler for that commission. The wholesaler's saved card is charged automatically and the commission is paid into your Stripe account. You do not receive or handle the buyer's full payment.
- Generosity acts only as a technology and administration provider. The Platform does not buy or sell the goods, does not receive the sale proceeds, and does not receive or route the commission. The sale is the wholesaler's supply for GST purposes, and the commission is your supply.
- Your platform fee on the wholesale sale is invoiced to you separately, as described in section 6.
- The wholesaler fulfils the order and is responsible to the buyer for the goods, including Consumer Guarantees Act 1993 and Fair Trading Act 1986 obligations. The wholesaler indemnifies you and the Platform for faults in their products or fulfilment failures under the Wholesaler Agreement.
- The Platform may adjust minimum sale prices if the wholesaler updates their wholesale costs. Commission invoices or payouts may be paused during a dispute, chargeback or fraud investigation.
- You are responsible for your tax obligations on your commission income, including GST accounting if you are GST-registered (in which case your commission invoices include GST). The Platform's fee is a separate supply and is not part of your commission.
- You must not: add wholesale products to campaigns you are not authorised to operate; misrepresent the wholesaler, the product, or fulfilment terms; imply that you personally supply wholesale products; or reprice a wholesale product below its minimum sale price (wholesale cost + minimum commission).
6. Platform fees and billing
- Your platform fee is 5% + GST of the gross amount of the donations and sales you receive (or the then-current rate shown on the Platform). Fees are non-refundable once incurred.
- The fee is calculated on a regular billing cycle and invoiced to you by the Platform. The invoice is charged automatically to the payment card you save in your dashboard.
- If a donor chooses to "cover fees", the donor pays you an additional amount that covers the fee on their gift; you remain responsible for the fee to the Platform.
- You must keep your saved payment card valid. If your card is declined or fails, we retry automatically and unpaid fees continue to accumulate; repeated failures may result in suspension of fundraising activity until the invoice is paid. Unpaid fees may be recovered in accordance with the Terms of Service.
7. Payouts
- Donations and sales of items you supply yourself are paid directly into your Stripe connected account by the buyer and pay out to the bank account you connect on Stripe's payout schedule.
- Wholesale commissions are paid into your Stripe account by the wholesaler (charged automatically to their saved card) and pay out to your bank account on Stripe's payout schedule.
- Payouts require completed onboarding and an approved campaign.
- Stripe may delay payouts due to verification, fraud checks, bank processing times or its own requirements. The Platform is not responsible for Stripe payout delays.
- We may pause payouts or commission invoicing for fraud, disputes, chargebacks or unlawful activity while we investigate.
- If a wholesale sale is refunded or charged back, the commission on that sale is cancelled; if it was already paid, it is credited against your next commission invoice from that wholesaler.
8. Misuse of funds
If we reasonably believe funds are being misused, or your campaign is fraudulent or unlawful, we may: pause the campaign, pause payouts or invoicing, refund donors where practicable, and refer the matter to authorities. You agree to cooperate and to provide documentation (such as receipts, invoices or proof of use) when requested.
9. Prohibited conduct
You must not: impersonate a charity; create duplicate or deceptive campaigns; use stolen images; post misleading updates; artificially manipulate fundraising totals or campaign progress; use AI to generate misleading updates; attempt to bypass Stripe verification; or move donors off-platform to avoid fees or oversight.
9A. Fraud and identity
We may use automated systems and manual review to detect fraud, suspicious activity or breaches of this agreement, including analysis of transaction patterns, device information and behavioural signals. You may be required to provide identity documents, proof of address, or proof of authority to run a campaign; failure to provide requested documents may result in suspension.
10. Moderation and suspension
Campaigns are reviewed before going live and may be suspended or removed for breach of these rules or any law. Outstanding fees remain payable after suspension, and commission payouts may be frozen during investigations.
11. Platform availability
The Platform may experience downtime or interruptions. We do not guarantee continuous availability, and we do not guarantee donations, visibility or campaign performance.
12. Updates
We may update this agreement with reasonable notice; continuing to run a campaign means acceptance.
13. Data sharing for fulfilment
Buyer information may be shared with you (or with the wholesaler for wholesale products) solely for fulfilment and legal compliance, in accordance with the Privacy Policy.
14. Defined terms
- Fundraiser: the person or organisation who creates and operates a campaign on the Platform.
- Donation: a voluntary gift made to a campaign, without an obligation to provide goods or services in return.
- Platform fee: the 5% + GST fee on donations and sales, invoiced to the fundraiser separately and charged to their saved card.
- Wholesale product: a product or voucher sourced from the Platform's wholesale catalogue and listed on your campaign page.
- Wholesaler: the approved business that supplies the wholesale product, fulfils orders for it, and is the seller of record to the buyer.
- Commission: the share of the wholesale sale price that the wholesaler owes you, at least 10% (or the higher minimum set by the wholesaler).
- Minimum sale price: wholesale unit cost + minimum commission, as enforced by the Platform.
